These Rules apply to the "Pay it Forward: A free Year of Phonebooth" contest at www.phonebooth.com website operated by Bandwidth.com, Inc. (the "Contest"). Entry into the Giveaway constitutes your acceptance of these Rules. See Giveaway Rules & Regulations
Bandwidth.com, Inc. "Year of Phonebooth" Offer These Terms and Conditions apply to the offer described below. The offer described below is not assignable or transferrable. OFFER: One (1) year of Phonebooth OnDemand (as defined in the Phonebooth Terms of Service and License Agreement, as supplemented by the Phonebooth OnDemand Supplement, each as posted at www.phonebooth.com/legal from time to time (collectively referred to as the "Phonebooth Service Agreement")), subject to the terms and conditions of the Phonebooth Service Agreement. "One (1) year of Phonebooth OnDemand" includes only the monthly recurring charge (or "MRC") applicable to up to five (5) End Users. For clarity, "one (1) year of Phonebooth OnDemand" does not include any applicable nonrecurring charge, any other charges, fees, or taxes specified or applicable pursuant to the Phonebooth Service Agreement (including, without limitation, with respect to any Usage and/or any Usage in excess of any applicable Usage Threshold), and/or any customer premises equipment, customer equipment, or other equipment necessary or useful to the operation of Phonebooth. Capitalized terms not otherwise defined in these Terms and Conditions are as defined in the Phonebooth Service Agreement.
Employees of Bandwidth.com, Inc., and their immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) or those living in the same household (whether or not related) are not eligible.
HOW TO ACCEPT: Bandwidth.com, Inc. has provided to each offeree a code. The offeree must subscribe to Phonebooth OnDemand pursuant to the Phonebooth Service Agreement as provided at www.phonebooth.com on or before July 15, 2011; the offeree must email the code provided by Bandwidth.com, Inc. at firstname.lastname@example.org on or before July 15, 2011.
Bandwidth.com, Inc.., in its sole discretion, reserves the right to terminate the offer at any time.
CHOICE OF LAW, VENUE AND LIMITATIONS: ANY CLAIMS OR CONTROVERSIES RELATING TO OR ARISING FROM THIS OFFER SHALL BE GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NORTH CAROLINA WITHOUT REGARD TO THE CONFLICTS OF LAW PRINCIPLES THEREOF AND SHALL BE BROUGHT IN THE STATE AND FEDERAL COURTS LOCATED IN RALEIGH, NORTH CAROLINA. EACH OFFEREE AGREES TO THAT VENUE AND JURISDICTION AND THE EXCLUSIVE JURISDICTION OF THOSE COURTS AND WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS. Under no circumstances will any offeree be permitted to obtain awards for, and each offeree hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than offeree's actual out-of-pocket expenses (i.e., costs associated with offeree's acceptance or attempted acceptance), and each offeree further waives all rights to have damages multiplied or increased.
VOID WHERE PROHIBITED BY LAW. Federal, state, and local laws and regulations apply. Taxes, customs duties and like amounts are the responsibility of the offeree.
Bandwidth.com, Inc. reserves the right to issue to any offeree who accepts the offer a 1099 tax form when the fair market value of the offer is over $600. The offeree is solely responsible for any and all taxes (if any).
